Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Tallawa regarding your use of our mobile application and services. By accessing or using Tallawa, you agree to be bound by these Terms.

If you do not agree with all of these Terms, you are expressly prohibited from using Tallawa and must discontinue use immediately.

Intellectual Property Rights

Unless otherwise indicated, Tallawa and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics (collectively, the "Content") are owned or controlled by us and are protected by copyright, trademark, and other intellectual property laws.

The Tallawa name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Tallawa. You may not use such marks without our prior written permission.

User Representations

By using Tallawa, you represent and warrant that:

• You have the legal capacity and agree to comply with these Terms
• You are at least 18 years of age
• You will not access Tallawa through automated or non-human means
• You will not use Tallawa for any illegal or unauthorized purpose
• Your use of Tallawa will not violate any applicable law or regulation
• All information you provide is accurate, current, and complete

User Registration

You may be required to register with Tallawa to access certain features. You agree to:

• Keep your password confidential and secure
• Notify us immediately of any unauthorized use of your account
• Be responsible for all activities that occur under your account
• Provide accurate and truthful information during registration
• Update your information to keep it accurate and current

We reserve the right to remove, reclaim, or change a username if we determine it is inappropriate, obscene, or otherwise objectionable.

Prohibited Activities

You may not access or use Tallawa for any purpose other than that for which we make it available. Prohibited activities include:

• Circumventing, disabling, or interfering with security features
• Engaging in unauthorized framing of or linking to the app
• Tricking, defrauding, or misleading us or other users
• Making improper use of our support services
• Engaging in automated data collection without permission
• Using the app to advertise or sell goods and services
• Disparaging, tarnishing, or harming us or the app
• Using information from Tallawa to harass, abuse, or harm another person
• Attempting to impersonate another user or person
• Uploading or transmitting viruses, malware, or other malicious code
• Interfering with, disrupting, or creating an undue burden on Tallawa
• Attempting to bypass measures designed to prevent restricted access
• Copying or adapting the app's software, including HTML, JavaScript, or other code
• Deciphering, decompiling, disassembling, or reverse engineering any software

User-Generated Content

Tallawa may allow you to create, submit, or share content, including workout logs, food photos, notes, and conversations with AI Buddy ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and display such content solely for the purpose of providing and improving Tallawa services.

You represent and warrant that:

• You own or have the necessary rights to submit the User Content
• Your User Content does not violate any third-party rights
• Your User Content does not contain offensive, obscene, or illegal material
• Your User Content does not violate any applicable laws or regulations

AI-Generated Content and Recommendations

Tallawa uses artificial intelligence to provide personalized fitness and nutrition recommendations. You acknowledge and agree that:

• AI recommendations are for informational purposes only and not medical advice
• You should consult healthcare professionals before starting any fitness or nutrition program
• AI-generated content may contain errors or inaccuracies
• Tallawa is not responsible for outcomes resulting from following AI recommendations
• You use AI features at your own risk

Medical Disclaimer

Never disregard professional medical advice or delay seeking it because of something you have read or received from Tallawa. If you think you may have a medical emergency, call your doctor or emergency services immediately.

Reliance on any information provided by Tallawa is solely at your own risk. Tallawa does not recommend or endorse any specific tests, physicians, products, procedures, or opinions.

Subscriptions and Payments

Tallawa may offer subscription-based premium features. By purchasing a subscription, you agree to:

• Pay all fees associated with your subscription
• Subscriptions automatically renew unless cancelled before the renewal date
• Provide accurate and current payment information
• We reserve the right to change subscription fees with notice
• Refunds are subject to our refund policy and applicable platform policies (App Store, Google Play)

Cancellation and Termination

You may cancel your subscription or delete your account at any time through the app settings or by contacting us at support@tallawa.com.

We reserve the right to suspend or terminate your account if you:

• Violate these Terms of Service
• Engage in prohibited activities
• Provide false or misleading information
• Fail to pay subscription fees

Upon termination, your right to use Tallawa will immediately cease. We may delete your data in accordance with our Privacy Policy.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, TALLAWA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or use
• Injuries or health issues resulting from use of the app or following recommendations
• Errors or inaccuracies in AI-generated content or nutrition data
• Unauthorized access to your data or account
• Interruption or cessation of services

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES EXCEED THE AMOUNT YOU PAID TO US IN THE LAST SIX (6) MONTHS, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Tallawa and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising from: (1) your use of Tallawa; (2) your violation of these Terms; (3) your violation of any third-party rights; or (4) any User Content you submit.

Disclaimers

TALLAWA IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. YOU AGREE THAT YOUR USE OF TALLAWA IS AT YOUR SOLE RISK. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

• Warranties of merchantability and fitness for a particular purpose
• That Tallawa will be uninterrupted, timely, secure, or error-free
• That results from using Tallawa will be accurate or reliable
• That defects will be corrected
• That AI recommendations will be suitable for your individual needs

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tallawa operates, without regard to conflict of law principles. Any disputes arising from these Terms or your use of Tallawa shall be resolved in the courts of that jurisdiction.

Dispute Resolution

If you have any concerns or disputes, please contact us first at support@tallawa.com. We will attempt to resolve disputes informally.

If informal resolution fails, you agree that any legal action shall be brought exclusively in the courts specified in the Governing Law section above.

Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Last updated" date and posting the new Terms in the app. Your continued use of Tallawa after changes constitutes acceptance of the updated Terms.

Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be severable from these Terms and shall not affect the validity and enforceability of the remaining provisions.
